INFORMATION REQUIRED TO BE RETAINED BY
RULE 17AD-7, WHICH RULE WAS ADOPTED IN JUNE 1977, IS NEEDED (1) TO
ASSURE THAT REGISTERED TRANSFER AGENTS ARE MAINTAINING RECORDS TO
MONITOR AND TO CONTROL THEIR PERFORMANCE AND (2) TO PERMIT THE
APPROPRIATE REGULATORY AGENCIES (THE "ARA'S") TO EXAMINE THOSE
TRANSFER AGENTS FOR COMPLIANCE WITH THE COMMISSION'S RULES. THE
INFORMATION IS ALSO NECESSARY IN THE EVENT OF LITIGATION.
On behalf of this Federal agency, I certify that
the collection of information encompassed by this request complies
with 5 CFR 1320.9 and the related provisions of 5 CFR
1320.8(b)(3).
