NOTIFICATION OF HOLDING COMPANY STATUS
Pursuant to Section 366.4(a) of the regulations of the Federal Energy Regulatory
Commission (the “Commission”) 1, Energy Transfer Equity, L.P. (“ETE”) hereby notifies the
Commission of its status as a “holding company” as defined in the Commission’s regulations. 2
I.

THE IDENTITY OF THE HOLDING COMPANIES AND OF THE PUBLIC
UTILITIES AND NATURAL GAS COMPANIES IN THE HOLDING COMPANY
SYSTEM

ETE submits this notice as a holding company by reason of its indirect ownership of two
local gas distribution companies, Missouri Gas Energy and New England Gas Company, which
are operated as divisions within Southern Union Company. Following a transaction that
occurred on March 26, 2012, Southern Union Company became a direct subsidiary of ETE
Sigma Holdco, LLC, which is in turn directly owned by ETE. LE GP, LLC owns a 0.31%
General Partner interest in ETE. As such, ETE, ETE Sigma Holdco, LLC and Southern Union
Company are holding companies by virtue of their direct and indirect ownership of local gas
distribution companies and thus are exempt from regulations per 18 C.F.R. § 366.3(b)(vi).
ETE also indirectly owns PEI Power Corporation and PEI Power II, LLC (collectively,
“PEI”), both of which are electric utility companies as defined in 18 C.F.R. § 366.1. Both PEI
entities are exempt wholesale generators as defined in 18 C.F.R. § 366.1. 3 ETE is exempt from
the notice requirements of Section 366.4(a) with respect to its interests in PEI under Section
366.3(a).
ETE also indirectly owns a number of natural gas companies as defined in 18 C.F.R. §
366.1. These companies include ETC Tiger Pipeline, LLC; Fayetteville Express Pipeline LLC;
Florida Gas Transmission Company, LLC; Gulf States Transmission, LLC; Midcontinent Express
Pipeline LLC; Panhandle Eastern Pipe Line Company, LP; Sea Robin Pipeline Company, LLC;
Transwestern Pipeline Company, LLC; and Trunkline Gas Company, LLC.
