SUPPORTING STATEMENT

(Form 1099-CAP)




  1. CIRCUMSTANCES NECESSITATING COLLECTION OF INFORMATION


Regulations section 1.6043‑4T requires large companies to report corporate inversion transactions that subject shareholders to taxes. The regulations require information reporting under section 6043(c) on Form 1099‑CAP by a corporation if it is acquired, re‑capitalized, or undergoes another type of substantial change in capital structure. The regulations mandate the reporting. Transactions involving the acquisition of control within an affiliated group or involving stock valued less than $100 million will not be covered. The regulations are effective for acquisitions of control and substantial changes of capital structure taking place after December 31, 2001.


  1. USE OF DATA


Taxpayers (shareholders) will use the information to determine any taxable gain incurred from cash received and the fair market value of stock or other property received. The gain, if any, is reported on the taxpayers' income tax return. The data will also be used by the IRS for compliance purposes.

  1. USE OF IMPROVED INFORMATION TECHNOLOGY TO REDUCE BURDEN


We are currently offering electronic filing on Form 1099-CAP.

We have attempted to eliminate duplication within the agency wherever possible.

Periodic meetings are held between IRS personnel and representatives of the American Bar Association, the National Society of Public Accountants, the American Institute of Certified Public Accountants, and other professional groups to discuss tax law and tax forms.

During these meetings, there is an opportunity for

those attending to make comments regarding Form

1099-CAP.


In response to the Federal Register notice dated September 17, 2012 (77 FR 57197, we received no comments during the comment period regarding Form 1099-CAP.

  1. ESTIMATED TOTAL ANNUAL COST BURDEN TO RESPONDENTS


As suggested by OMB, our Federal Register notice dated September 17, 2012, requested public comments on estimates of cost burden that are not captured in the estimates of burden hours, i.e., estimates of capital or start-up costs and costs of operation, maintenance, and purchase of services to provide information. However, we did not receive any response from taxpayers on this subject. As a result, estimates of the cost burdens are not available at this time.


  1. ESTIMATED ANNUALIZED COST TO THE FEDERAL GOVERNMENT


The primary cost to the government consists of the cost of printing Form 1099-CAP. We estimate that the cost of printing the form is $6,000,000.


  1. REASONS FOR CHANGE IN BURDEN


There are no changes being made to the paperwork burden previously approved by OMB. We are making this submission to renew the OMB approval.

  1. REASONS WHY DISPLAYING THE OMB EXPIRATION DATE IS INAPPROPRIATE


We believe that displaying the OMB expiration date is inappropriate because it could cause confusion by leading taxpayers to believe that the statutes/regulation sunsets as of the expiration date. Taxpayers are not likely to be aware that the Service intends to request renewal of OMB approval and obtain a new expiration date before the old one expires.
