The proposed amendments in Release No. 33-9117 would require, as a condition to shelf eligibility, asset-backed issuers to undertake to file ongoing reports, including Form 10-K, Form 10-D and Form 8-K. The increase in the burden associated with these forms is necessary in order to provide investors with more transparency of the performance of the securities an ongoing basis. The proposed amendments also may somewhat increase the amount of preparation a sponsor of a securitization needed for purposes of the sponsor's Form 10-K. We estimate that the proposal would result in an increase of 84,038 burden hours and an increase in the cost burden of $11,205,000 for services of outside professionals.
