Proposal for Redesigned Survey on
New Foreign Direct Investments in the United States (BE-13)
Summary
The redesigned BE-13 survey will collect data on the construction of new plants and other new
business facilities in the United States by existing U.S. affiliates of foreign direct investors as
well as data on foreign investor’s acquisitions of existing U.S. companies and establishment of
new U.S. affiliates.
Coverage
The report is to be filed by:
1) A U.S. business enterprise when a foreign entity acquires a 10% or more voting interest
(directly, or indirectly through an existing U.S. affiliate) in that enterprise;
2) A U.S. business enterprise when it is established if it has a foreign owner with 10% or
more of its voting interest (directly, or indirectly through an existing U.S. affiliate);
3) An existing U.S. affiliate of a foreign parent when it acquires a U.S. business enterprise
or segment that it then merges into its operations; and
4) An existing U.S. affiliate of a foreign parent when it expands its operations to include a
new facility where business is conducted.
The section of the BE-13 dedicated to collecting data related to “greenfield” investment will be
filled out by:
1) A newly established U.S. affiliate; and
2) An existing U.S. affiliate when it expands its operations to include a new facility where
business is conducted.
Frequency
Report forms will be mailed to companies meeting the criteria described under “Coverage” on an
ongoing basis. These companies will be required to file no later than 45 days after the
completion of the investment transaction or of when work begins on a new “greenfield” project.
Companies whose “greenfield” projects are under construction will be required to file an update
to the original BE-13 report they submitted every 6 months until the project is completed or until
two years have passed since the original submission, whichever is sooner. Data will be tabulated
and published on an annual basis.
