o The initial capitalization (including debt and equity) of the U.S. holding company is $30,000,000 or less, and
o The U.S. business enterprise is acquired or established within 180 days of the creation of the U.S. holding Company
NOTE: This exemption attempts to minimize reporting when a foreign parent creates a U.S.holding company whose sole
