Abstract: REGULATION 14A SPECIFIES THE INFORMATION REQUIRED TO BE DISCLOSED TO SECURITY HOLDERS TO ENABLE THEM TO MAKE INFORMED DECISIONS CONCERNING AUTHORIZATION OF PROXIES. THE COMMISSION IS PROPOSING TO AMEND SCHEDULE 14A TO REQUIRE MANAGEMENT'S DISCUSSION AND ANALYSIS OF FINANCIAL CONDITION AND RESULTS OF OPERATIONS IN PROXY STATEMENTS WITH OTHER PROPOSALS IN THE INTEGRATED DISCLOSURE SYSTEM.
