Abstract: TO HELP INSURE THAT INVESTORS HAVE THE NECESSARY INFORMATION TO MAKE SECURITY PURCHASES, THE SECURITIES ACT REQUIES THE FILING OF A REGISTRATION STATEMENT WHICH MAKES PUBLICLY AVAILABLE THE INFORMATION NECESSARY FOR INFORMED INVESTING. FORM S-18 IS ONE OF THE FORMS PRESCRIBING FOR SUCH PURPOSE FOR SMALL OFFERINGS BY FIRST TIME ISSUERS.
