Abstract: RULE 240 PROVIDES A LIMITED EXEMPTION FROM THE REGISTRATION REQUIREMEN OF THE SECURITIES ACT FOR CERTAIN OFFERS AND SALES OF SECURITIES BY QUALIFYING ISSUERS. FORM 240 PROVIDES THE COMMISSION WITH THE INFORMATION NECESSARY TO ASSESS THE EFFECTIVENESS OF THE EXEMPTION AS A CAPITAL FORMATION DEVICE FOR ISSUERS, PARTICULARLY SMALL BUSINESSES.
