Abstract: RULE 44 IMPLEMENTS SECTION 12(D) BY PROHIBITING SALES OF UTILITY SECURITIES OR ANY UTILITY ASSETS OWNED BY A REGISTERE HOLDING COMPANY, EXCEPT PURSUANT TO A DECLARATION WHICH NOTIFIES THE COMMISSION OF THE PROPOSED SALE AND WHICH HAS BECOME EFFECTIVE. RULE 44 MAKES THE FILIN OF A FORMAL DECLARATION UNNECESSARY FOR CERTAIN SALES PROVIDED PRIOR NOTICE OF THE SALE IS GIVEN.
