THIS NPRM PROPOSES ELIMINIATION OF THE
REQUIREMENT THAT A NATIONAL BAN FILE A FORMAL APPLICATION TO
ESTABLISH OR ACQUIRE AN OPERATING SUBSIDIARY. INSTEAD, A
NOTIFICATION PROCEDURE IS PROPOSED. THE PROPOSED REVISION BENEFITS
NATIONAL BANKS BY REMOVING BURDENSOME AND COSTLY REGULATORY
REQUIREMENTS, WHILE MAINTAINING OCC'S ABILITY TO RENDER DECISIONS
ON THE LEGALITY OF PROPOSED ACTIVITIES FOR OPERATING
SUBSIDIARIES.
