Abstract: RAIL CARRIERS PROPOSING TO SELL SECURITIES WITHOUT COMPETITIVE BIDDING SUBMIT INFORMATION ABOUT THE SECURITY TO BE ISSUED, THE NEED FOR PRIVATE PLACEMENT AND THE BENEFIT TO THE CARRIER IN REALIZING A LOWER COST AND THUS ASSIST IN THE PROVISION OF SERVICE TO THE PUBLIC AT THE CHEAPEST RATE. GENERALLY RAILROADS ARE REQUIRED TO SELL THEIR SECURITIES THROUGH COMPETITIVE BIDDING BUT THERE ARE TIMES WHEN THIS I NOT FEASIBLE.
