Abstract: RULE 13E-4 ENSURES THAT AN ISSUER'S SHAREHOLDERS RECEIVE THE INFORMATI NECESSARY TO MAKE AN INFORMED INVESTMENT DECISION WHEN THE ISSUER SEEK TO BUY THEIR STOCK BY MEANS OF TENDER OFFER. THE RULE IS BEING AMENDED TO EXCEPT CERTAIN TYPES OF LIMITED PURPOSE ISSUER TENDER OFFERS FROM THE REQUIREMENT THAT A SCHEDULE 13E-4 BE FILED AND THE INFORMATION IT CONTAINS BE DISSEMINATED.
