Abstract: TO HELP INSURE THAT INVESTORS HAVE THE NECESSARY INFORMATION TO MAKE PURCHASES OF SECURITIES WHICH ARE PUBLICLY OFFERED FOR SALE THE SECURITIES ACT OF 1933 REQUIRES THE FILING OF A REGISTRATION STATEMENT ON SUCH SECURITIES WHICH MAKES PUBLICLY AVAILABLE THE INFORMATION NECESSARY FOR INFORMED INVESTMENT DECISIONS. FORM S-1 IS THE GENERAL FORM PRESCRIBED FOR SUCH A PURPOSE.
