AN INSURED STATE NONMEMBER BANK PROVID PRIOR WRITTEN NOTICE TO THE
FDIC. SUCH NOTIFICATION IS MADE ON FORM FDIC 6822/1 AND IS SUBJECT
TO DISAPPROVAL IF FDIC DETERMINES THE OWNERSHIP CONTROL TO BE NOT
IN THE PUBLIC'S INTEREST.
