Abstract: THE PURPOSE OF RULE 22D-4 IS TO REMOVE THE NEED FOR CERTAIN INVESTMENT COMPANIES TO FILE AN APPLICATION FOR EXEMPTION FROM 22(D) EACH TIME TH DESIRE TO MERGE OR CONSOLIDATE, WHILE AT THE SAME TIME ENSURING THAT THE INTERESTS OF SUCH COMPANIES' SHAREHOLDERS REMAIN PROTECTED. REGISTERED INVESTMENT COMPANIES ARE AFFECTED.
