Abstract: THE PROPOSED RULE WILL IMPOSE REQUIREMENTS TO REGULATE THE FORWARDING BY NATIONAL BANK CUSTODIANS AND FIDUCIARIES OF PROXY STATEMENTS AND OTHER SHAREHOLDER COMMUNICATIONS TO THE BENEFICIAL OWNERS OF SECURITIES HELD BY SUCH ENTITIES. THE PROPOSED RULE IS INTENDED TO MINIMIZE DELAYS AND OTHER PROBLEMS IN THE DISSEMINATION OF SUCH MATERIALS.
