Abstract: THE REGULATION PROVIDES RULES FOR DETERMINING UNDER SECTION 382 WHETHER CHANGES IN CORPORATE STOCK OWNERSHIP RESULT IN "OWNERSHIP CHANGE" (AFTER WHICH CERTAIN LOSS CARRY FORWARDS ARE LIMITED). THE REGULATION REQUIRES RECORDKEEPING CONCERNING STOCK OWNERSHIP AND REQUIRES THAT A STATEMENT CONCERNING THE TIME AND AMOUNT OF CHANGE IN STOCK OWNERSHIP BE ATTACHED TO THE INCOME TAX RETURN.
