REQUIRES VARIOUS RECORDS TO BE KEPT IN CONNECTION WITH CERTAIN
PURCHASE OR SALE TRANSACTIONS BETWEEN REGISTERED INVESTMENT
COMPANIES AND CERTAIN OF THEIR AFFILIATES TO FACILITATE THE
COMMISSION'S MONITORING OF TRANSACTIONS EXECUTED PURSUANT TO THE
RULE.
