RULE 24B-1 WAS ADOPTED IN 1934 PURSUANT TO THE PREDECESSOR TO PRESENT SECTION 24 OF THE SECURITIES EXCHANGE ACT OF 1934 (THE "ACT") WHICH RELATED TO THE PUBLIC CHARACTER INFORMATION.
