This notice
responds to the Commission's request for OMB clearance of revisions
to information collection requirements contained in the
Commission's premerger notification (HSR) rules. P. L. 106-553
requires that these requirements take effect February 1, 2001.
Effective that date, OMB is approving the requirements until May,
2001 in response to a Commission request of January 17, 2001. The
emergency clearance submission is accompanied by proposed permanent
revisions which should be acted upon before the expiration of this
clearance or the Commission should request an emergency
extension.

The FTC seeks OMB clearance for
revisions to information collection requirements under the HSR
premerger rules (prompted by new HSR Act amendments), which affect
prior burden estimates that OMB approved in 1999. The rule
amendments are being announced in interim and proposed rules that
amend (or propose to amend) the premerger notification regulations,
16 C.F.R. Sec. 801-803, and the associated Premerger Notification
and Report Form. Staff anticipates the net effect of these changes
will be a significant reduction in the number of premerger
filings.
On behalf of this Federal agency, I certify that
the collection of information encompassed by this request complies
with 5 CFR 1320.9 and the related provisions of 5 CFR
1320.8(b)(3).
