RESOLUTION OF MEMBERS OR STOCKHOLDERS

Corporation members complete this form.  Corporation members use this form to authorize its� officials to borrow money and sign all required security instruments.

Submit the original of the completed form in hard copy or facsimile to the Rural Development servicing office where the application for loans was made.

Corporations must complete all of the items specified in the following table.

1 Name of Association	Enter the name of the association or corporation making the resolution.
2 Address	Enter the street number, street, P.O.  Box, City, State, and Zip code where the organization completing the resolution conducts its official business.
3 Amount of Loan	Enter the maximum amount of loan authorized by the resolution.
4 Amount of Grant	Enter the maximum amount of grant authorized by the resolution.
5 I, the undersigned, as	Enter the official title of the person authorized by organization documents to sign this document.
6 Day	Enter the day of the month when notice for the meeting was sent to the members to advise them that this loan resolution would be considered for passage.
7 Month	Enter the month when notice for the meeting was sent to the members to advise them that this loan resolution would be considered for passage.
8 Year	Enter the year when notice for the meeting was sent to the members to advise them that this loan resolution would be considered for passage.
9 Number	Enter the total number of members authorized to vote to on resolutions.

11 Number	Enter the number of persons required to attend meetings and approve resolutions authorizing the organization to enter into a contract.
12 Number	Enter the number of voting members who were present at the meeting.

14 Month	Enter the month when the meeting was held.
15 Year	Enter the year when the meeting was held.
16 Number	Enter the number of members who voted for passage of the loan resolution.
17 Day	Enter the day of the month when the person signing the certification completed the certification.
18 Month	Enter the month when the person signing the certification completed the certification.
19 Year	Enter the year when the person signing the certification completed the certification.
20 Signature	The person making the certification signs the document on this line.
21 Name	Enter the name of the person signing the certification for the resolution of members or stockholders below the signature.
22 Organiza­tion Name	Enter the name of the organization passing the resolution.
