This document contains proposed
regulations under section 1502 of the Internal Revenue Code. The
regulations apply to corporations filing consolidated returns. The
regulations implement aspects of the repeal of the General
Utilities doctrine by requiring certain reductions in subsidiary
stock basis on the transfer of the stock. The regulations also
prevent the duplication of loss that might otherwise result in
connection with a transfer of subsidiary stock by requiring certain
redeterminations of basis and by reducing the subsidiarys
attributes.
