The amendments in Release No. 33-9245 remove references to credit ratings and replace them with alternate criteria. The increase in the burden associated with Form F-3 is the result of an estimate that if the proposals are adopted, certain issuers currently eligible to use Form F-1 would become eligible to use Form F-3. As a result, the number of respondents on Form F-3 is expected to increase. We estimate that the amendments would result in an annual time burden increase of 42 hours and an increase in the cost burden of $50,100 for services of outside professionals.
