Form 40-F may be used by certain
Canadian issuers to file reports with the Commission pursuant to
Section 15(d) of the Securities Exchange Act of 1934, or to
register securities pursuant to Sections 12(b) and 12(g) of that
Act.
The proposals in Release No.
33-9164 would implement Section 1503 of the Dodd-Frank Act. The
changes in burden of Form 40-F relate to proposed new disclosure
requirements about mine safety matters. These disclosure
requirements implement Section 1503 of the Dodd-Frank Act, which
requires disclosure of specified mine safety and health violations,
orders and citations and related matters in periodic reports. The
change in burden for Form 40-F corresponds to the new disclosure
requirements. We estimate the proposal will result in an annual
time burden increase of 19 hours and an increase in the cost burden
of $22,500 for services of outside professionals.
