The proposed amendments in Release No. 33-10107 would expand the number of registrants that qualify as smaller reporting companies and are intended to reduce compliance costs for smaller registrants, maintain investor protections, and promote capital formation. We are amending the definition of “smaller reporting company” to include registrants with a public float of less than $250 million, as well as registrants with no public float and annual revenues of less than $100 million in the previous year. We also are making corresponding amendments to other rules in light of the new definition of “smaller reporting company. We anticipate the proposed amendments would decrease the burdens and costs for registrants to prepare and review filings that include scaled disclosure requirements for smaller reporting companies. For purposes of the PRA, we estimate that the proposed amendments to Regulation 14C (Commission Rules 14c-1 through 14c-7 and Schedule 14C) would result in a net decrease of 7 burden hours and a net decrease in the cost burden of ($880) for the services of outside professionals.
