This Report is required by law: Section 10(b)(2) of the Home
Owners' Loan Act (12 U.S.C. § 1467a(b)(2)); and Sections 238.4
and 238.5 of Regulation LL (12 C.F.R. §§ 238.4, 238.5).

The Federal Reserve may not conduct or sponsor, and an
organization (or a person) is not required to respond to, a collection of information unless it displays a currently valid OMB
control number.

This form is to be filed by all savings and loan holding companies.
