Executive officers of subsidiaries or parents of the Borrower may be deemed Corporate Officers of the Borrower if they perform such policy-making functions for the Borrower. Please include all officers for all parents and affiliates listed as either a Signatory or Additional Borrower in the Payroll Support Program Agreement(s) and/or Loan and Guarantee Agreement. | ||||||||||

4 Total Compensation means compensation including salary, wages, bonuses, awards of stock, and any other financial benefits provided by the Borrower or an Affiliate, as applicable, which shall be determined and calculated for the 2019 calendar year or any applicable 12-month period in respect of any Employee or Corporate Officer of the Borrower in the manner prescribed under paragraph e.6 of the award term in 2 CFR part 170, App. A, but excluding any Severance Pay or Other Benefits in connection with a termination of employment. | ||||||||||
5 Please include the total number of Corporate Officers and Employees who had any portion of their compensation reduced as a direct result of efforts to comply with the limits on Total Compensation as set out in the Payroll Support Agreement(s) and/or Loan and Guarantee Agreement. Do not include any Corporate Officers or Employees whose Total Compensation was unchanged, or reduced due to other factors, e.g., reductions in compensation due to failure to meet incentive plan thresholds.
