Form 8-K is filed by issuers to
satisfy their current reporting obligations pursuant to Sections 13
and 15(d) of the Exchange Act in connection with the occurrence of
significant corporate events.
The final rules require
registrants to disclose information about a cybersecurity incident
within four business days after the registrant determines that a
cybersecurity incident it has experienced is material. The
Commission estimates that the final rules will result in an
increase in the paperwork burden of affected entities. For purposes
of the PRA, the Commission estimates that for Form 8-K the final
rules will result in an increase of 1,350 burden hours and $270,000
for the services of outside professionals.
