On February 28, 2024, the President issued Executive Order 14117 (Preventing Access to Americansâ Bulk Sensitive
Personal Data and United States Government-Related Data by Countries of Concern) (the Order) pursuant to his
authority under the Constitution and laws of the United States, including the International Emergency Economic
Powers Act (50 U.S.C. 1701 et seq.) (IEEPA), the National Emergencies Act (50 U.S.C. 1601 et seq.) (NEA), and 301
of title 3, United States Code). The Order directs the Attorney General to issue regulations that prohibit or otherwise
restrict United States persons from engaging in any acquisition, holding, use, transfer, transportation, or exportation
of, or dealing in, any property in which a foreign country or national thereof has any interest (transaction), where the
transaction: involves bulk U.S. sensitive personal data (SPD) or U.S. Government related data, as defined by final
rules implementing the Order; falls within a class of transactions that has been determined by the Attorney General to
pose an unacceptable risk to the national security of the United States because it may enable access by countries of
concern or covered persons to Americansâ bulk SPD or U.S. government-related data; and meets other criteria
specified by the Order. On March 5, 2025, the Department of Justice (Department or DOJ), through the National
Security Division, issued an Advance Notice of Proposed Rulemakin
