Abstract: Form S-11 (17 CFR 239.18) is a specialized form under the Securities Act of 1933 (“Securities Act”) used for registration of securities issued by real estate investment trusts (as defined in Section 856 of the Internal Revenue Code) or securities issued by issuers whose business is primarily that of acquiring and holding for investment real estate or interests in real estate or interests in other issuers whose business is primarily that of acquiring and holding real estate or interests in real estate for investment. The information to be collected is intended to ensure the adequacy of information available to investors about the issuer and the securities that may be offered pursuant to the registration statement.

Short Statement: The proposal would provide reporting companies with the option to file interim reports on a semiannual basis in lieu of filing interim reports on a quarterly basis. The proposal would provide greater flexibility for reporting companies to select the interim reporting frequency that best serves the company and its investors. The proposal would add a check box to the cover page of Form S-11 that a registrant would check if it has elected to file semiannual reports. For purposes of the PRA, we estimate that the amendments to Form S-11 would result in an increase of 2.8 burden hours and would result in no effect (i.e., no increase and no decrease) on the cost burden for the services of outside professionals.
