Section 13(a) of the Securities Exchange Act of 1934 (âExchange Actâ) requires every issuer of a security registered pursuant to Section 12 to file periodic and current reports with the Commission. Section 15(d) of the Exchange Act requires each issuer that has filed a registration statement that has become effective under the Securities Act of 1933 to file periodic reports and documents pursuant to Section 13 of the Exchange Act.
Form 10-Q (17 CFR 249.308a) is the form used by issuers to satisfy their quarterly reporting obligations pursuant to Section 13 or 15(d) of the Exchange Act. Form 10-Q requires financial and certain other information concerning the issuer.
Form 10-Q filings include financial and other information that is intended to provide investors with information needed to make informed investment decisions and to promote confidence in the trading markets.
The proposal would provide reporting companies with the option to file interim reports on a semiannual basis in lieu of filing interim reports on a quarterly basis. The proposal would provide greater flexibility for reporting companies to select the interim reporting frequency that best serves the company and its investors. Reporting companies that elect to report semiannually would file interim reports on proposed new Form 10-S in lieu of filing quarterly reports on Form 10-Q. For purposes of the PRA with respect to Form 10-Q, the proposal would result in a decrease of 484,459.06 burden hours and a decrease of $96,981,795 on the cost burden for the services of outside professionals.
