Form S 4 (17 CFR 239.25) is a form used for registration under the Securities Act of 1933 of securities to be issued in: (1) transactions specified in Securities Act Rule 145(a) (17 CFR 230.145(a)), which include certain reclassifications, mergers, consolidations, and transfers of assets requiring a vote of or consent by security holders; (2) mergers in which the applicable state law would not require the solicitation of the votes or consents of all of the security holders of the company being acquired; (3) exchange offers for the securities of the issuer or another entity; (4) public reofferingâs or resales of any such securities acquired pursuant to the registration statement; and (5) more than one of the above listed transactions registered on one registration statement.
The purpose of the information collection is to ensure the adequacy of information available to investors in connection with registered business combination transactions.
The proposal would provide reporting companies with the option to file interim reports on a semiannual basis in lieu of filing interim reports on a quarterly basis. The proposal would provide greater flexibility for reporting companies to select the interim reporting frequency that best serves the company and its investors. The proposal would add a check box to the cover page of Form S-4 that a registrant would check if it has elected to file semiannual reports. For purposes of the PRA, we estimate that the amendments to Form S-4 would result in an increase of 45.6 burden hours and would result in no effect (i.e., no increase and no decrease) on the cost burden for the services of outside professionals.
