Abstract: TO HELP INSURE THAT INVESTORS HAVE THE NECESSARY INFORMATION TO MAKE SECURITY PURCHASES THE SECURITIES ACT OF 1933 REQUIRES THE FILING OF A REGISTRATION STATEMENT ON SUCH SECURITIES WHICH MAKES PUBLICLY AVAILAB THE INFORMATION NECESSARY FOR INFORMED INVESTING. PROPOSED FORM S-3 WOULD BE ONE OF THE THREE BASIC FORMS PRESCRIBED FOR SUCH A PURPOSE.
