Abstract: RULE 15C2-5 WAS ADOPTED TO DEAL WITH CERTAIN ABUSES IN CONNECTION WITH THE OFFER AND SALE OF "EQUITY FUNDING" PROGRAMS. THE RULE PROHIBITS A BROKER-DEALER FROM ARRANING A LOAN FOR A CUSTOMER TO WHOM A SECURITY IS SOLD UNLESS, BEFORE THE TRANSACTION IS ENTERED INTO, THE BROKER-DEALER REASONABLY DETERMINES THAT TRANSACTION IS SUITABLE FOR THE CUSTOMER.
