Form S-3 under the Securities Act is
the short form registration statement used by domestic issuers to
register offerings of their securities.
The amendments in Release No.
33-9244 re-propose certain rules related to asset-backed securities
that were initially proposed in April 2010. The decrease of 28,800
burden hours and decrease of cost burden by $34,560,000 for
services of outside professionals for Form S-3 is due to the
proposal to move asset-backed issuers from Form S-3 to new Form
SF-3.
