The proposed amendments in Release No. 33-9117 would require, as a condition to shelf eligibility, asset-backed issuers to undertake to file ongoing reports, including Form 10-K, Form 10-D and Form 8-K. The increase in the burden associated with these forms is necessary in order to provide investors with more transparency of the performance of the securities an ongoing basis. In addition, we are proposing to revise the form to provide additional disclosure on changes to the asset pool and changes in the sponsor's interest in the transaction. These changes would also provide investors with additional transparency. The proposal would result in an increase of 5,389 burden hours and an increase in the cost burden of $718,500 for services of outside professionals.
