OMB reviewed
Commission staff responses to public comment on the information
collection requirements in the revisions to the premerger
notification rule and form published on February 1, 2001. OMB has
no objection to the proposed requirements and the changes
recommended in response to public comment, subject to Commission
approval. If there are material or substantial modifications, OMB
anticipates these would be submitted for review and approval. OMB
has discussed with Commission staff the conversion to NAICS which
will require further changes to the rules and form and which is the
subject of separate rulemaking.

The FTC seeks OMB clearance for
revisions to information collection requirements under the HSR
premerger rules (prompted by new HSR Act amendments), which affect
prior burden estimates that OMB approved in 1999. The rule
amendments are being announced in interim and proposed rules that
amend (or propose to amend) the premerger notification regulations,
16 C.F.R. Sec. 801-803 and the associated Premerger Notification
and Report Form. Staff anticipates the net effect of these changes
will be a significant reduction in the number of premerger
filings.
On behalf of this Federal agency, I certify that
the collection of information encompassed by this request complies
with 5 CFR 1320.9 and the related provisions of 5 CFR
1320.8(b)(3).
